Allgeier SE agrees with Ciber insolvency administrator to acquire customer relationships and assets of Ciber Group's German companies

Munich, April 10, 2017 – After the Ciber Group’s German companies filed for insolvency, Allgeier SE – one of the leading providers of software solutions and IT solutions for large and medium-sized companies – is to take over their customer relationships as well as further assets. Allgeier SE and the insolvency administrator appointed for Ciber AG and Ciber Managed Services GmbH, Hans-Gerd Jauch, have reached a corresponding agreement on this arrangement. The corresponding agreements were signed on April 7, 2017. Allgeier’s takeover of the contracts and assets will occur with economic effect as of the date when the resolution to open insolvency proceedings was passed, April 7, 2017. Receivables and payables originating from the period preceding this cut-off date will remain with the insolvency administrator, in accordance with the insolvency arrangement.

Allgeier and Ciber had originally concluded a purchase agreement for the German Ciber companies in early February, but it could not be implemented due to the German Ciber companies filing for insolvency. The takeover of the customer relationships and significant assets that has now occurred enables Allgeier to directly continue and restructure the operating business. “We assume we can continue the business and customer relationships within the coming days,” notes Hubert Rohrer, member of the Executive Board of Allgeier SE.

The business that has been acquired forms a very good addition to Allgeier’s business, as both companies’ existing SAP operations can now be continued under one roof. With the Allgeier Enterprise Services business area, Allgeier already expanded its SAP portfolio of products and services last year in the wholesale/retail, logistics, chemicals, pharmaceuticals, general and semi-luxury foods, and media sectors. Allgeier Enterprise Services, for example, is a Lighthouse Partner for the Cloud S/4Hana suite, and consequently one of six providers worldwide that can distribute and help customers implement the ERP software solution.

We are now one of the large full-service SAP providers covering the entire SAP consulting and services bandwidth,” as Rohrer commented. The seamless continuation of customer relationships also addresses the necessary reorganization of the German Ciber operations, with all efforts being applied to restart and recapitalize the business.
