To this end, Ciber is sellingits German companies, namely Ciber AG based in Heidelberg and Ciber ManagedServices GmbH based in Freiburg, to Allgeier Enterprise Services AG. Inaddition, Ciber France SAS based in Entzheim, France, and major parts ofthe operations, including the customer relationships and employees of CiberDanmark A/S headquartered in Brøndby, Denmark, will be transferred, alongwith the software solution Ciber Compliance Suite for SAP Systems.Allgeier will combine the acquired Ciber entities with its own existing SAPbusiness in Allgeier ConsultingServices GmbH based in Kronberg andAllgeier Midmarket Services GmbH based in Freiburg under the umbrella ofAllgeier Enterprise Services AG.The purchase price of the shares and assets acquired from Ciber amounts upto EUR 8 million. Part of the purchase price is contingent on the economicperformance of the organization unit created through the process in 2017and 2018. The transaction will take place once approval has been obtainedfrom the antitrust authorities.Ciber has found Allgeier as a competent and powerful partner to further andexpand the business with major domestic and international companies as wellas mid-sized companies at the high end of the market in Germany, France andDenmark.
